1. Agreement to Terms

By accessing or using ecorzo's website and services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Description of Services

ecorzo provides web development, mobile app development, AI development, blockchain solutions, eCommerce platforms, and digital transformation services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project execution
• Respond promptly to requests for feedback, approvals, or information
• Make timely payments according to agreed-upon payment terms
• Respect intellectual property rights of ecorzo and third parties

4. Payment Terms

Payment terms will be specified in individual project agreements. Unless otherwise agreed, invoices are due within the timeframe specified in the agreement. Late payments may result in suspension of services and may incur additional fees.

5. Intellectual Property

Upon full payment, clients own the intellectual property rights to custom work created specifically for their project. ecorzo retains rights to any pre-existing tools, frameworks, or methodologies used in project delivery. All design concepts remain ecorzo property until final payment is received.

6. Project Scope and Changes

Project scope is defined in the project agreement. Any changes to scope, timeline, or deliverables must be agreed upon in writing and may result in additional costs or timeline adjustments.

7. Warranties and Disclaimers

ecorzo warrants that services will be performed in a professional manner consistent with industry standards. However:

• We do not guarantee specific business outcomes or results
• Services are provided "as is" without warranties of any kind
• We are not liable for third-party service disruptions or failures

8. Limitation of Liability

To the maximum extent permitted by law, ecorzo's total liability shall not exceed the total fees paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination, clients are responsible for payment of work completed up to the termination date. Cancellation fees may apply as specified in the project agreement.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of business. This obligation survives termination of the agreement.

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If unresolved, disputes shall be settled through binding arbitration in New York, NY, in accordance with applicable law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or directly to affected clients. Continued use of our services after changes constitutes acceptance of new Terms.
